KASIKORNBANK (KBank) announced the 2026 Annual General Meeting on 10 April 2026 and proposed two Independent Directors - Ms. Choosri Kietkajornkul and Associate Professor Dr. Narongdech Srukhosit. The two candidates have been proposed by Gulf Development Public Company Limited, in accordance with KBank’s criteria that allow qualifying shareholders to put forward director candidates. The Board of Directors has considered the proposal from the Human Resources and Remuneration Committee and is of the opinion that both candidates possess the qualifications, knowledge, and experience that will be beneficial to the Bank’s operations. The Bank of Thailand has approved their appointment as Directors.
These proposed appointments are subject to shareholder approval at the 2026 AGM. The proposed candidates will be considered following the departure of two existing directors:
- Ms. Chonchanum Soonthornsaratoon, currently a Non-Executive Director and Legal Adviser, will step down from the Board at the 2026 AGM. However, she will continue to provide legal advice to the Board. This transition is in line with good corporate governance standards that promote a clear separation between advisory roles and board oversight responsibilities.
- Ms. Piyaporn Phanachet, currently an Independent Director, has previously expressed her intention to resign from the Board of Directors, effective at the end of February 2026. She will assume the role of Honorary Chairperson at KASIKORN RESEARCH CENTER COMPANY LIMITED (KResearch), where she will support the KResearch’s Board.
If the proposed candidates are elected, Independent Directors on KBank’s Board would represent approximately 67% of the Board, which exceeds Thailand’s regulatory requirement that at least one-third of directors be independent, in line with international good corporate governance standards. In addition, these changes do not affect KBank’s management structure, underscoring the Bank’s commitment to a clear separation between Board oversight and executive management.
Ms. Kobkarn Wattanavrangkul, Chairperson of the Board, KASIKORNBANK, said that “Ms. Choosri Kietkajornkul and Associate Professor Dr. Narongdech Srukhosit have been duly proposed as candidates to assume the role of Independent Director on KBank’s Board. Their appointments as the Bank’s directors have been approved by the Bank of Thailand, in line with applicable laws, regulations, and good corporate governance standards. Their appointments will be put to shareholders at KBank’s 2026 AGM.”
